Baronsmead Venture Trust (BVT) AGM 2018

#121593

Postby Kidman » March 2nd, 2018, 11:50 am

I note that BVT made an announcement about their AGM on 21 February, http://www.londonstockexchange.com/exchange/news/market-news/market-news-detail/BVT/13541363.html.

I hadn't realised that Christina McComb has resigned prior to the meeting and now see that Susannah Nicklin has been appointed from the end of the AGM.

I am puzzled why BVT hasn't given any indication of proxy votes, not in the RNS, not on their own website or on the version at the NSM. Do they have something they want to hide?

I don't think they published the previous year either. The Chairman is an AIM chairman where this is not a requirement, but it is for a main market listing.

Still the auditor is KPMG so no worries there!

LivingBridge have kindly sent me a copy of the proxy figure slides used at the AGM. As they are not in a simple table I won't reproduce them here (unless requested).
There were a few resolutions where the votes against were over 5%:-
Remuneration report 6.7%
Disapplication of pre-emption rights 5.42%
GM notice period of 14 days 6.14%.
The only thing that struck me as odd was the large number of votes which were at discretion (usually of the chairman) and these ranged from 9.23% to 13.41% over all the resolutions.
