Merger Update - Bharti Infratel and Indus Towers

Vodafone Group Plc ("Vodafone") announced on 1 September 2020 that it had agreed to proceed with the merger of Indus Towers Limited ("Indus Towers") and Bharti Infratel Limited ("Bharti Infratel", together the "Combined Company").

The agreement to proceed was conditional on consent for a security package for the benefit of the Combined Company (the "Security Package") from Vodafone's existing lenders (for the €1.3 billion loan utilised to fund Vodafone's contribution to the Vodafone Idea Ltd rights issue in 2019). This consent has now been received. The parties will now approach the National Company Law Tribunal to make the merger scheme effective. The parties are working to complete the transaction expeditiously.

Their share price has cratered over the last year.
They still figure on page 2 of the short tracker

On the fcst yield according to HYPTUSS, shorting their stock will be an expensive position.
Someone, well several someones, and betting serious money that they are headed for further trouble.
What is it that we don't know?
Any views on their recovery potential??

Of more interest is what current VOD shareholders will get from this spin-off, has anyone found anything specific on that? I would be minded to hold some of the new Vantage Towers shares if that were an option next year.

I wonder how long it will be before the financial journos start dubbing it Faulty Towers :D Remember, you read that here first.

A £280m dividend paid next year after the AGM to Vantage towers shareholders.

The capital structure and dividend policy will ensure Vantage Towers retains capacity for organic and inorganic growth investments and enable a strong cash distribution policy for shareholders. With a starting leverage of 4x Net Financial Debt / adj. EBITDAaL, Vantage Towers is preserving the strategic flexibility to pursue additional organic and inorganic opportunities, resulting in €1 billion of leverage capacity that can be complemented by the issuance of equity to fund larger opportunities.

This provides Vantage Towers' shareholders with an attractive mix of flexibility to invest in growth opportunities with attractive incremental return on capital and significant ongoing shareholder distribution.


So at the moment (a % of) the VT divi will be going to Vodafone and will help support the Vodafone dividend.

They say:
Vodafone intends to retain a majority stake in Vantage Towers post IPO, given the strategic nature of the tower infrastructure and the potential value creation opportunity. In its role as majority shareholder, Vodafone is committed to supporting Vantage Towers to create value by empowering the management team to drive growth from increasing the utilisation of its existing infrastructure, including with third parties, as well as deploying incremental capital to capture new growth opportunities and efficiencies. Vodafone is also committed to strong corporate governance with appropriate independent Supervisory Board representation, including an independent chairperson for Vantage Towers.


So there will be a minority of shares sold early next year, what happens to those shares is unclear, but I'm guessing sold on the market and the cash used to pay down Vodafone debt. But that's just a guess on my part.

VODAFONE COMMITS TO NET ZERO EMISSIONS BY 2040

Vodafone today committed to reducing the company's total global carbon emissions to 'net zero' by 2040 and confirmed that its 2030 carbon reduction targets have been approved by the Science Based Targets initiative as in line with reductions required to keep warming to 1.5°C, the most ambitious goal of the Paris Agreement.

By 2030, Vodafone will eliminate all carbon emissions from its own activities and from energy it purchases and uses (Scope 1 and 2). Vodafone also pledged that by 2030 it will halve carbon emissions from Scope 3 sources, including joint ventures, all supply chain purchases, the use of products it has sold and business travel.

By 2040, Vodafone will have eliminated Scope 3 emissions completely - bringing forward by ten years Vodafone's original 2050 ambition to reach 'net zero' across its full carbon footprint.

Vodafone Tender Offer for KDG minority holdings

Vodafone Group Plc ("Vodafone Group") and its wholly-owned subsidiary Vodafone Vierte Verwaltungs AG ("Vodafone KDG") (together, "Vodafone") announce today a tender offer to all other shareholders of Kabel Deutschland Holding AG ("KDG").

Vodafone will offer the KDG shareholders cash consideration of €103 for each outstanding KDG share (the "Offer"). Vodafone has received irrevocable undertakings from entities advised by the D. E. Shaw group, by Elliott Advisers (UK) Limited ("Elliott") and by UBS O'Connor LLC (together the "Accepting Shareholders") to accept the Offer for all of their KDG shares, representing approximately 17.1% of the share capital of KDG. Following completion of the Offer, Vodafone will own at least 93.8% of the outstanding share capital of KDG.

Commercialisation of Cornerstone agreed

Vodafone and Telefonica to commercialise UK's largest tower company, Cornerstone

Vodafone to transfer its 50% shareholding in Cornerstone to Vantage Towers

Vodafone Group Plc's ("Vodafone") UK subsidiary, Vodafone Limited ("Vodafone UK") and Telefonica UK Limited ("TEF UK") (together, the "anchor tenants") today announce the commercialisation of Cornerstone Telecommunications Infrastructure Limited ("Cornerstone"), the 50:50 owned joint venture company that owns and manages their passive tower infrastructure in the United Kingdom.

Vodafone UK and TEF UK have each entered into long-term Master Services Agreements (each, an "MSA") with Cornerstone, which have initial terms of 8 years from 1 January 2021, with three 8-year renewal periods, and which establish Cornerstone as a preferred supplier of new sites for both operators.

Vodafone intends to transfer its 50% shareholding in Cornerstone to Vantage Towers in January 2021.

Key highlights

· #1 tower infrastructure company in the UK operating c.14,200 macro sites and c.1,400 micro sites

· Extends Vantage Towers' portfolio to c.82,000[1] macro sites and its geographic presence in Europe to 10 markets, with leading positions in 9 of them
