Total Voting Rights.

In accordance with DTR 5.6.1R of the FCA's Disclosure, Guidance and Transparency Rules, the Company notifies the market that as at 31 May 2022 :

· it had 2,317,603,896 issued ordinary shares of 1 pence each ("Ordinary Shares") admitted to trading. Each Ordinary Share carries the right to one vote in relation to all circumstances at general meetings of the Company; and

· it does not hold any Ordinary Shares in treasury.

As such the total voting rights figure will be 2,317,603,896 and may be used by shareholders and others with notification obligations as the denominator for the calculations by which they will determine whether they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure, Guidance and Transparency Rules.

Revision and extension to Investment Management Agreement.

Following consultation with shareholders, the Board of Greencoat UK Wind (UKW) is pleased to announce that it has renewed the Investment Management Agreement (IMA) with Greencoat Capital. Greencoat Capital has been the Investment Manager for UKW since IPO in 2013. During that period, UKW has delivered a market-leading total return to shareholders of approximately 150% including 59.7p per share in dividends.

The principal changes to the IMA are as follows:

· An additional tier added to the cash fee structure, which will see a reduction in the fee charged in respect of NAV over £3,000 million to an amount equal to 0.7 per cent., paid in quarterly installments and applied retrospectively;

· A refreshed initial term of four years from 1 April 2022, subject to:

· A reduction to one year's notice if the shares trade below NAV for six months or more, on average, during the initial term; and

· A revision to the change of control clause to limit the remaining term for these purposes to a maximum of 2 years.

All other material terms remain in line with the previous IMA.

The Investment Manager is a related party of the Company under Chapter 11 of the FCA's Listing Rules and the amendments to the Investment Management Agreement constitute a smaller related party transaction under Listing Rule 11.1.10.

Notice of Results, Net Asset Value and Interim Dividend.

Half Year Results, NAV & Dividend Announcement.

Highlights

· The Group's investments generated 2,175GWh of renewable energy.

· Net cash generation (Group and wind farm SPVs) was £328.8 million.

· Acquisition of Twentyshilling increased the portfolio to 44 operating wind farm investments and net generating capacity to 1,460MW as at 30 June 2022.

· Agreement to acquire a net 12.5 per cent stake in Hornsea 1 offshore wind farm, with the transaction expected to complete in Q3 2022.

· The Company declared total dividends of 3.86 pence per share with respect to the period.

· £900 million outstanding borrowings as at 30 June 2022, equivalent to 20 per cent of GAV.

Commenting on today's results, Shonaid Jemmett-Page, Chairman of Greencoat UK Wind, said :

"We are pleased to report another solid performance, with continued strong cash generation as we deliver against our simple, low risk strategy and build on our well-established track record.

"During the period we acquired Twentyshillling wind farm and were delighted to announce our investment in Hornsea 1, the world's largest offshore wind farm. Upon completion of this investment in Q3 2022, we will have grown our portfolio to 45 operating wind farms and increased our net generating capacity to over 1.6GW, which underlines the size and scale the Group has attained since listing in 2013.

"We continue to see an attractive pipeline of investments, both onshore and offshore, and remain well positioned to deliver more value-accretive acquisitions and extend our track record of strong shareholder returns."

And later;

Dividends;

As disclosed in note 18, on 27 July 2022 , the Board approved a dividend of 1.930 pence per share with respect to the quarter ended 30 June 2022, bringing the total dividends declared with respect to the period to 3.86 pence per share. The record date for the dividend is 12 August 2022 and the payment date is 26 August 2022 .

I hold these in my 28 share HYP. I'm very impressed with the share/company thus far. I'd like to buy more of the company, but they're riding high currently. I'm a fan of renewables/wind turbines anyway, which is just as well, as there's loads of them up where we live in Orkney. ;)

Chair Succession.

The Board of Greencoat UK Wind announces that Shonaid Jemmett-Page, who has served as Chair since 2020, and a Non-Executive Director since 2012, has confirmed her intention to retire with effect from the conclusion of the 2023 Annual General Meeting ("AGM").

Following a rigorous selection process, the Board today announces that Lucinda Riches will be appointed as Chairman of the Board following the 2023 AGM. Ms Riches has served as a Non-Executive Director since 2019 and was appointed as Senior independent Director earlier this year.

Shonaid Jemmett-Page, Chair said: " I have greatly enjoyed being involved with Greencoat UK Wind since its listing. Over those 10 years the Company has built a strong track record and I am very confident that it will be in good hands with Lucinda Riches as my successor. "

Lucinda Riches said: " On behalf of the Board, I would like to thank Shonaid for her highly valued contribution to the Company. I look forward to assuming my new role as Chair from April next year. "

Final Results Announcement.

2022 Highlights

Generation

· The Group's investments generated 4,362 GWh of sustainable electricity.

· Net cash generation (Group and wind farm SPVs) was £560.1 million.

High quality investments

· Acquisition of Twentyshilling and a net 12.5 per cent stake in Hornsea 1 increased the portfolio to 45 operating wind farm investments and net generating capacity to 1,610MW as at 31 December 2022.

Dividends and balance sheet

· The Company has declared total dividends of 7.72 pence per share with respect to the year and is targeting a dividend of 8.76 pence per share for 2023 (increased in line with December 2022 RPI).
· Aggregate Group Debt of £1,780 million as at 31 December 2022, equivalent to 31 per cent of GAV.

And later;

On 23 January 2023, the Company announced a dividend of 1.93 pence per share with respect to the quarter ended 31 December 2022, bringing the total dividend declared with respect to the year to 31 December 2022 to £178.9 million, equivalent to 7.72 pence per share. The record date for the dividend is 10 February 2023 and the payment date is 24 February 2023.

Acquisition of Dalquhandy wind farm.

Greencoat UK Wind PLC (the "Company", or "UKW") is pleased to announce that it has agreed to acquire Dalquhandy wind farm from BayWa r.e. ("BayWa") for a total consideration of approximately £50m.

Dalquhandy is a 42MW wind farm located near Coalburn in South Lanarkshire, is adjacent to Douglas West wind farm, and comprises 10 Vestas V136 4.2MW turbines. The wind farm benefits from a 10 year fixed price PPA with BT for 80% of its output.

The acquisition is expected to complete in May 2023 and will be funded from cash, which will be reinvested to grow UKW's generating capacity to 1,652MW.

Dalquhandy is the sixth wind farm that UKW has bought from BayWa and follows on from Cotton Farm and Earl's Hall Farm (2013), Kildrummy (2014), Stroupster (2015) and Bishopthorpe (2017).

Shonaid Jemmett-Page, Chairman of UKW, commented: "Greencoat UK Wind continues to generate significant cash flow in excess of its dividend and we are delighted to announce the acquisition of Dalquhandy wind farm. This NAV accretive transaction grows our portfolio to 46 wind farms with a generating capacity of 1,652MW. Just that the wind farms they are referring to are mostly (or maybe all) onshore and judging by the names, mostly in Scotland.A blot on our landscape. I cannot deny they will have made a good investment this last year or so, given the very high price of electricity but I would never touch them.

They are all too common around and about where I live, quite a few owned by Greencoat!
